About the Foundation

Governance

The Foundation’s directors are responsible for its purpose, programmes and financial stewardship. This page explains the governance principles guiding that work and identifies the information still being developed.

Governance principles

Responsibilities the board holds itself to.

These principles describe the responsibilities guiding the directors. They are commitments, not evidence that every procedure has been independently checked.

  • Purpose-led stewardship

Foundation resources and decisions should advance its stated purpose.

  • Non-distribution

The Foundation is not established for private gain, and its income and assets are not distributable to directors except for properly authorised compensation for services actually rendered or reimbursement of legitimate expenses.

  • Conflict management

Directors and partners must disclose relevant interests and should not participate in decisions from which they or connected organisations may benefit improperly.

  • Documented accountability

Governance, programme decisions and financial management should be documented and subject to appropriate review as the Foundation develops.

Connected roles require clear disclosure.

Directors and programme partners may also hold roles in organisations connected with delivery. Relevant interests need to be disclosed and managed so Foundation decisions serve its purpose and are not improperly influenced by commercial interests.

Foundation governance and programme accountability

Foundation governance concerns organisational oversight and stewardship. Programme standards concern how assessments are conducted, how findings are communicated and what future independent certification would add.

Further governance documents, approved policies and financial reporting information will be published as they are finalised and authorised for release.
